You will be part of a diverse team that comprises attorneys, entrepreneurs, consultants, policy specialists, and venture capitalists. This team advises a wide array of clients, from innovative startups to established Fortune 500 companies, throughout various phases of the corporate lifecycle. The firm serves clients across sectors such as digital health, fintech, crypto/Web3, gaming, media/entertainment, AI, ESG, cannabis, and consumer brands, with a focus on venture financing, partnerships, mergers and acquisitions, and general corporate matters.
Ideal candidates will possess:
- Experience in leading venture financing transactions, mergers and acquisitions, and corporate governance issues.
- Knowledge of startup and financing documentation, including convertible notes, SAFEs, priced equity rounds, NVCA model documents, SAFTs, and token offerings.
- Robust transactional experience, including drafting commercial agreements, negotiating with opposing counsel, and guiding teams through due diligence and transaction closings.
Qualifications include:
- A minimum of four years of experience in the venture capital sector.
- Demonstrated ability to lead deal teams and manage transactions from inception to completion.
- Outstanding written and verbal communication skills.
- Strong client-facing capabilities and the ability to work autonomously.
- A collaborative mindset with the capacity to work across multidisciplinary teams and various practice areas within the firm.
- Advanced Excel skills, including proficiency in cap tables, exit waterfalls, and financial modeling tools.
- Active bar membership in good standing in the relevant jurisdiction.
Compensation: $295k to $400k, plus bonus
