We are seeking a highly skilled Corporate Counsel to join our Business Innovation and Corporate team at Daimler Truck North America LLC. As a key member of our legal team, you will play a critical role in supporting our business growth and innovation initiatives.
Key Responsibilities- Assist in the creation, drafting, review, and negotiation of technology-related contracts, including inbound/outbound licenses, joint development agreements, and joint industry projects.
- Advise and counsel a diverse client base on data-related issues, including the collection, storage, use, and security of data, as well as monetization opportunities and business models.
- Review and assess questions or concerns related to open-source software, SaaS, Daas, PaaS, and DBaaS products.
- Create playbooks and training materials to enable fellow legal team members and members of the engineering, product, and procurement teams to address common commercial transaction and commercial terms questions, including data issues and product development concerns.
- Revise and develop policy and procedure documentation relating to commercial transactions, internal data use and management, and implementation of new software tools.
- Prepare and maintain applicable data ownership and security-related contract forms and/or clauses in collaboration with our commercial legal team.
- Assist in the drafting, review, and negotiation of merger and acquisition transaction documents, as well as joint ventures and other partnership agreements.
- Assist due diligence activities in support of merger and acquisition activities and financial programs of the Daimler Truck Group, which may require on-site meetings with the Company's management, discussions with the Company's auditors and outside counsel, and review of material agreements and other documents.
- Advise on enforcement of internal or external policies and assist with investigations or audits, the Company or its subsidiaries in relation to acquisitions, investments, capital-raising initiatives, and evaluate cross-border Company transactions.
- Provide guidance on corporate finance and new emerging laws and regulations to achieve regulatory compliance and minimize Company risk.
- Depending on experience, perform certain corporate secretary functions, including working with paralegal support to document and maintain director and officer elections, board of directors' resolutions, and related documents for corporate minute books of company and all US and Canadian subsidiaries.
- Juris Doctor (JD) degree.
- Membership in good standing in a state Bar with the ability to practice law in Oregon as in-house counsel.
- 4+ years relevant legal experience with a mix of law firm and in-house counsel roles preferred.
- Experience negotiating and drafting commercial agreements, including software-related agreements (EULAs, development agreements, license agreements, etc.).
- Exposure or working knowledge of open-source software, SaaS, Daas, PaaS, and DBaaS products.
- Exposure or working knowledge of corporate maintenance and governance activities.
- Exposure or working knowledge of capital market transactions, including due diligence activities.
- Exposure to merger and acquisition transactions and joint venture formation and providing ongoing legal support post-closing.
- Experience communicating with and presenting information to leaders and executives.
- Ability to influence and gain partnership where direct reporting lines are absent.
- Highly organized and able to track open tasks to closure.
- Understanding of 80/20 and Continuous Improvement methodologies.
- Experience with utilizing technology to support workflow efficiency.
- Ability to bring levity and humor to an otherwise serious practice.
- International experience and supporting cross-border transactions is a bonus.
We offer a competitive salary range of $136,000 to $173,500 per year, depending on knowledge, skills, and experience. Our benefits package includes an annual bonus program, 401(k) company contribution with company match up to 6%, non-elective company contribution of 7% depending on age, starting at 4 weeks paid vacation, 13+ calendar holidays, 8 weeks paid parental leave, employee assistance program, comprehensive healthcare plans, and wellness programs.
