Fulfillment, a leading provider of comprehensive logistics and transportation management solutions, is seeking a highly experienced and skilled commercial and corporate attorney to join our team as Assistant General Counsel - Corporate.

Key Responsibilities:

  1. Contract Management: Draft and negotiate contracts for Fulfillment, including a wide variety of customer and supplier agreements, taking responsibility for the contract lifecycle through execution.
  2. Mergers and Acquisitions: Support the Deputy General Counsel on Fulfillment's M&A projects (including contractual diligence), SEC reporting and securities law matters, and corporate governance requirements for both the public company and its subsidiaries.
  3. Commercial and Corporate Law: Track and implement commercial and corporate law developments applicable to Fulfillment.
  4. Process Improvement: Analyze data and processes and propose methods for continuous improvement.
  5. Business Counseling: Provide creative, proactive general business counseling to Fulfillment's businesses.
  6. Client Relationships: Develop and maintain strong client relationships and an understanding of Fulfillment's businesses.

Requirements:

  1. JD from an Accredited US Law School: A Juris Doctor degree from an accredited law school in the United States.
  2. Licensed Attorney: Licensed to practice law in the state of Illinois (or other state) and a member in good standing.
  3. Commercial and Corporate Experience: At least 6 years of substantive commercial and corporate experience, with preference for time at both a national law firm and in-house.
  4. Subject Matter Expertise: Strong substantive knowledge of commercial contracts and corporate law subject matter areas.
  5. Transportation Sector Experience: Experience in the transportation sector a plus.
  6. Soft Skills: Excellent planning, organizational, and communication skills (written and verbal).
  7. Analytical Skills: Ability to prioritize, multi-task, and work autonomously with minimal supervision.
  8. Attention to Detail: Strong analytical skills with high attention to detail and accuracy.
  9. Business Acumen: Proven ability to balance legal risks with business goals—good business sense.
  10. Professional Development: Desire to be pro-active, challenged, and grow professionally, with a focus on creative solutions.
  11. Technical Skills: Proficiency in computer skills, including Outlook and MS Office (Word, Excel, PowerPoint).
