Corporate Counsel - Technology Transactions

Sigma is seeking a seasoned Corporate Counsel to join our team. As a key member of our legal department, you will play a critical role in supporting our sales and procurement teams by drafting and negotiating complex technology transactions.

Key Responsibilities:

  • Transaction Support: Collaborate with cross-functional teams to ensure agreements are consistent with internal corporate policies and processes.
  • Due Diligence: Conduct legal and regulatory due diligence in international jurisdictions where Sigma plans to enter into technology agreements.
  • Contract Negotiation: Draft and negotiate technology transactions, including sales and related agreements, alliance agreements, and cloud infrastructure agreements.
  • Dispute Resolution: Provide legal and commercial support in relation to existing contracts and support in the event of any disputes or potential disputes.

Requirements:

  • JD from an accredited law school
  • Membership in at least one state bar
  • Ability to practice in California
  • At least 7 years of relevant experience
  • Excellent organizational and project management skills
  • Experience working with a CLM tool
  • Experience working at a fast-paced Technology company in the SaaS or Enterprise software business
