About the Role

We are seeking an experienced Corporate Counsel to join our dynamic legal team at Tools for Humanity. As a key member of our legal team, you will play a crucial role in advising on a variety of corporate and securities issues and transactions, including corporate governance, strategic transactions, and novel issues in the blockchain space.

Key Responsibilities
  • Advise on complex corporate/securities issues and negotiate commercial and strategic agreements.
  • Maintain and update corporate records and filings for all entities, including our US parent company, international subsidiaries, and joint ventures, ensuring accurate and current information for corporate governance and legal compliance purposes.
  • Work on Board, Committee, and other corporate governance matters for TFH and our subsidiaries and joint ventures.
  • Assist with a variety of corporate and securities transactions, including M&A and other strategic investments.
  • Work closely with our finance and stock/token administration teams on equity matters and administration.
  • Prepare, review, and manage a variety of legal documents and commercial contracts.
Requirements
  • Excellent written and verbal communicator, able to present complex legal issues clearly and concisely across various platforms, including emails, memoranda, and formal documents.
  • Exceptional attention to detail and organizational skills, with a track record of improving and streamlining processes.
  • Demonstrated ability to multitask, problem-solve, and complete complex projects in a fast-paced, dynamic environment.
  • Strong judgment and high levels of professionalism, discretion, and integrity in all interactions.
  • Ability to communicate prioritization and deadlines with internal and external stakeholders, and build constructive, high-trust relationships across teams and functions.
  • Openness to occasional international travel and working a varied schedule based on the needs of the team.
  • J.D. degree from an accredited law school and membership in good standing in at least one state bar.
  • Relevant experience: 4-8+ years' experience as a corporate, securities, M&A, or emerging companies attorney at a top firm or in-house (a combination is even better).

The reasonably estimated salary for this role at TFH in San Francisco ranges from $205,000 - $270,000, plus a competitive long term incentive package, and may include variable compensation. Actual compensation is based on factors such as the candidate's skills, qualifications, and experience.
