Job Description

The Contract Manager is responsible for overseeing the negotiation, drafting, and execution of contracts between the organization and external parties. The primary goal is to ensure that contracts are structured to protect the organization's interests while fostering positive relationships with external parties.

Key Responsibilities:
  • Preparation, management, and administration of contracts with customers and subcontractors.
  • Developing a contract and change management strategy for projects.
  • Participating in the sales phase of projects, including contract review, assessment, re-drafting, and negotiation.
  • Managing all aspects of the contract lifecycle, including tracking key dates, milestones, and obligations, as well as coordinating contract amendments or extensions as needed.
  • Reviewing project documentation and assessing potential risks.
  • Maintaining a common contractual overview of project obligations and baselines, including records of all contractual deviations and consequences.
  • Preparing and executing subcontracts in coordination with the Procurement Department, enabling a link between upstream and downstream contract management procedures.
Support Project Management Team:
  • Providing prompt feedback to Project Management and management on contractual deviations and their consequences.
  • Setting up and maintaining qualitative contemporary records on projects.
  • Drafting notices of impact of any program element that has affected or may affect the scope, time, or cost of the project.
  • Interface with the Planning and Commercial teams within the project.
  • Supporting the Project Management in fulfilling the correspondence requirements as addressed in the contract.
  • Being a key participant for the Project Director/Project Manager.
Relationship Management:
  • Cultivating positive relationships with external stakeholders to facilitate open communication and collaboration throughout the contract process.
Dispute Resolution, Compliance Monitoring & Risk Management:
  • Resolving any disputes or conflicts that arise during the execution of contracts, either through direct negotiation or by involving legal counsel if necessary.
  • Monitoring compliance with contractual obligations and conducting periodic audits to assess performance and identify areas for improvement.
  • Identifying and mitigating potential risks associated with contract terms, pricing structures, and other factors that could impact the organization's financial or operational objectives.
  • Ensuring continuous improvement of the company's group contracts through lessons learned and further risk mitigation for projects.
Key Requirements and Professional Attributes:
  • A Bachelor's Degree in business administration, finance, law, or a related field.
  • Minimum 5 years of experience as a Contract Manager, including demonstrated success in negotiating and managing contracts on a regional, N. America scale.
  • A solid understanding of contract law, business principles, and relevant regulations is essential, as well as a thorough understanding of how large construction projects are executed and the resulting strategic navigation within the project, its contracts, and towards the set goal.
  • Strong negotiation skills coupled with excellent written and verbal communication skills.
  • The ability to analyze contracts, identify risks, and develop strategies to mitigate them is important.
  • Highly organized, capable of managing multiple contracts simultaneously and keeping track of deadlines and obligations.
  • Precision and attention to detail are essential to ensure that contracts accurately reflect the agreed-upon terms and conditions.
  • Adept at identifying and resolving issues that arise during contract negotiations and implementation.
  • Building and maintaining positive relationships with clients, suppliers, and partners is key to successful contract management.
  • Familiarity with relevant legal principles and regulations.
  • Certified Professional Contracts Manager (CPCM) or similar Certification Preferred.
  • Ability to travel to project sites in North America and to the CoCs around the world, Europe.
