We are seeking a highly skilled Commercial Contracts Counsel to join our team at Apex Systems. As a key member of our Legal Department, you will play a critical role in negotiating and drafting complex commercial contracts, ensuring compliance with company policies and applicable laws.

Key Responsibilities

  • Contract Negotiation and Drafting

Draft, analyze, revise, and negotiate complex master services agreements, Statement of Works, vendor agreements, Request for Proposals, contract employee agreements, and other related legal documents.

Contract Review and Compliance

Review the terms and conditions of commercial contracts to ensure compliance with company policies and applicable laws.

Legal Advice and Support

Advise internal clients on contract provisions and associated legal matters, providing expert guidance to ensure successful business outcomes.

Document Editing and Maintenance

Edit legal documents to ensure consistency with company policies and applicable laws, maintaining accurate database and file records.

Communication and Collaboration

Communicate with senior management and sales leaders regarding contract provisions, providing a solution-oriented approach to business contract negotiations.

Additional Responsibilities

Assist with other legal or litigation matters as they arise, working collaboratively with fellow Contracts Counsel to develop efficient and effective policies to meet legal and business needs.

Requirements

  • Education and Experience

Juris Doctor (JD) required.

Technical Skills

Intermediate skills with MS Excel, Word, and Outlook.

Personal Qualities

Highly motivated with ability to work without direct supervision, superior oral communication and interpersonal skills, detail-oriented individual with excellent analytical and problem-solving skills.
