We are in search of a seasoned attorney specializing in Mergers & Acquisitions (M&A) and capital markets to become a vital part of our Legal Department in New York City. You will collaborate with a team of legal professionals dedicated to offering legal guidance and managing legal risks associated with Deutsche Bank's U.S. M&A and capital markets operations. This role encompasses a comprehensive range of buy-side, sell-side, debt, and equity transactions, including activities in the Latin American market.

Key Responsibilities:
  • Negotiate financial advisory engagement letters for buy-side and sell-side transactions, and provide advisory support to investment banking clients, including in the Latin American sector.
  • Deliver clear and concise legal advice on capital markets transactions for various domestic and international issuers, covering a wide array of debt and equity products.
  • Review and amend pre-transaction and transaction documents from the initial pitch through to closing.
  • Collaborate with colleagues in the Legal Department and Compliance to ensure cohesive advice on transactions and related matters.
  • Assist in the development of policies and guidelines, providing training on relevant topics to the Legal Department and business units.
  • Create and maintain legal templates for M&A and capital markets transactions, while managing legal, regulatory, and reputational risks.
Leadership Responsibilities:
  • Effectively manage legal, regulatory, and reputational risks while coordinating with business units and legal billing groups.
Essential Qualifications:
  • Active membership in a State Bar and significant experience at a prominent law firm or global investment bank.
  • Extensive background in representing broker-dealers in financial advisory and capital markets transactions.
  • In-depth knowledge of federal securities laws and familiarity with SEC regulations pertinent to capital markets.
Preferred Skills:
  • Qualified legal professional.
  • Strong analytical, organizational, and multitasking abilities.
  • Capacity to manage your own workload effectively from an early stage.
  • Ability to assess legal risks alongside reputational and commercial considerations.
  • Exceptional verbal, written, and interpersonal communication skills.

It is anticipated that individuals hired for this role will work in the New York office in alignment with the Bank's hybrid working model.
