Job Description

We are seeking a skilled Paralegal to support our in-house legal department. As a Paralegal, you will play a vital role in managing a wide range of corporate legal matters, including SEC filings, debt restructuring, tax reorganizations, and corporate governance.

Key Responsibilities:
  • Work directly with in-house attorneys, outside counsel, and corporate departments.
  • Maintain domestic and international corporate subsidiary minute books.
  • Assist in preparing SEC filings.
  • Draft and execute legal documentation for tax planning, treasury planning, and other intercompany transactions.
  • Support mergers and acquisitions.
  • Prepare reports and recommendations for legal counsel.
  • Conduct research and document positions.
  • Identify and improve business processes.
  • Perform other related duties as assigned.
Qualifications:
  • 5+ years of experience in a similar role for an in-house legal team or law firm.
  • Bachelor's degree.
  • Strong attention to detail and prioritization skills.
  • Hands-on approach and excellent business sense.
  • Ability to maintain confidentiality.
  • Outstanding verbal and written communication skills.
  • Independent and strategic thinker with a strong team-oriented mindset.
  • Demonstrated initiative and ability to work in a fast-paced environment.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint).
Preferred Qualifications:
  • Public Notary certification.
  • Paralegal Certificate.
