Corporate Debt Finance Specialist

Stealth Recruiting Services is seeking a highly skilled Corporate Debt Finance Specialist to join our team. As a key member of our corporate practice, you will provide legal advice and support on a wide range of debt financing transactions.

Responsibilities:
  • Advise on senior secured lending, mezzanine financing, acquisition financing, asset-based financing, venture debt financing, and intercreditor arrangements.
  • Work with private equity sponsors from either the borrower or lender side, ensuring compliance with legal and regulatory requirements.
  • Draft, review, and negotiate various financing documents, including loan agreements, security agreements, guarantees, and other related documentation.
  • Conduct due diligence and advise clients on potential risks and legal implications of financing transactions.
  • Collaborate with team members and other departments within the firm to provide comprehensive legal solutions to clients.
  • Stay updated on legal developments and industry trends in the debt finance space to provide proactive advice to clients.
Qualifications:
  • JD or LLM from an ABA-accredited law school.
  • Admitted or eligible for admission in New York.
  • 4+ years of experience in debt finance and private equity.
  • Demonstrated expertise in senior secured lending, mezzanine financing, acquisition financing, asset-based financing, venture debt financing, and intercreditor arrangements.
  • Proven experience working with private equity sponsors from either the borrower or lender side.
  • Excellent written and verbal communication skills.
  • High level of professionalism in working and engaging with demanding clients.
  • Strong organizational skills and attention to detail.
  • Ability to balance and prioritize competing priorities and responsibilities.
