Key Responsibilities:

  • Mortgage/Mezzanine Financing: Provide counsel on mortgage and mezzanine financing deals, representing both lenders and borrowers. Draft, negotiate, and finalize financing agreements.
  • Joint-Venture Equity Transactions: Structure and negotiate joint venture contracts, representing developers, investors, and other parties involved in equity deals.
  • Property Acquisitions and Dispositions: Oversee and execute real estate acquisition and disposition transactions, including due diligence, contract negotiations, and closing procedures.
  • Development Projects: Offer legal guidance on real estate development initiatives, including land use, zoning, permitting, and construction contracts.
  • Client Representation: Represent a diverse range of clients, including real estate developers, investors, financial institutions, and corporate entities in various real estate dealings.
  • Transaction Oversight: Manage complex real estate transactions from inception to completion, ensuring all components are handled efficiently and effectively.
  • Documentation: Prepare and review legal documents pertinent to real estate transactions, such as purchase agreements, loan documents, joint venture contracts, and leases.
  • Regulatory Compliance: Ensure adherence to applicable laws and regulations, including zoning, environmental, and land use standards.
  • Cross-Functional Collaboration: Collaborate closely with other practice areas within the firm, such as Corporate, Finance, and Environmental, to deliver comprehensive legal solutions.
  • Client Development: Cultivate and maintain strong client relationships, providing strategic advice and identifying business development opportunities.

Qualifications:

  • Experience: Mid-level and senior associates with substantial experience in real estate transactions, including mortgage/mezzanine financing, joint-venture equity, acquisitions and dispositions, and/or development. Candidates with non-real estate transactional backgrounds will also be considered.
  • Education: Juris Doctor (JD) from an accredited law school.
  • Bar Admission: Admitted to practice in New York.
  • Skills: Strong analytical, drafting, negotiation, and communication abilities.
  • Attention to Detail: High level of attention to detail, with the capacity to manage multiple tasks and deadlines.
  • Team Player: Ability to work collaboratively in a team-oriented environment, as well as independently.
  • Proactive Approach: Proactive in identifying issues and providing innovative solutions.
