Job Overview:

The Chief Counsel serves as the principal legal advisor based in the United States, functioning as a transactional attorney within the global Sustainability & Governance division.

Key Responsibilities:

  • Act as a legal authority, offering daily guidance, recommendations, and counsel to the Low Carbon Solutions Business Line.
  • Draft, assess, and negotiate project agreements with clients across various jurisdictions for McDermott's Low Carbon Solutions Business Line, which includes evaluating contract terms, pricing/payment schedules, scope of work, project protocols, and execution timelines for contracts valued from millions to billions of dollars.
  • Represent McDermott and the Sustainability & Governance function as a leader in organizational culture.
  • Provide legal insights and project management assistance throughout the contract lifecycle.
  • Review and negotiate various agreements to support McDermott's business objectives, including MOUs, consortium agreements, joint ventures, partnerships, and NDAs.
  • Facilitate project execution across different jurisdictions while understanding foreign legal frameworks.
  • Advise on and evaluate financial instruments (e.g., letters of credit, bank guarantees) and project finance documentation relevant to projects.
  • Engage in management assessments and counsel internal stakeholders on strategy, risk management, and positioning.
  • Prepare and assist in the negotiation and execution of subcontracts and purchase orders.
  • Manage pre-litigation claims and negotiate disputes raised by clients, suppliers, and subcontractors.
  • Identify and advise on compliance and anti-corruption issues; collaborate with the internal Ethics & Compliance team.
  • Design and deliver training for various teams, including Supply Chain and Contracts professionals.
  • Work with the Sustainability & Governance team to foster an open and inclusive culture and to pinpoint and implement process enhancements.
  • Assist in integrating prime contract requirements into vendor subcontracts, purchase orders, or existing MSAs.
  • Draft, negotiate, and finalize positions with vendors in purchase orders and subcontracts.
  • Participate in industry groups to provide counsel, guidance, and principles while influencing legislation related to the Low Carbon Solutions Business Line.

Essential Qualifications and Education:

  • J.D. from a recognized law school.
  • Licensed to practice law in the United States (preferably Texas or Louisiana).
  • 7+ years of extensive legal experience in the energy or construction sectors, with a focus on management, contract drafting, negotiation, and contract administration.
  • Fluent in Spanish, including legal terminology (capable of negotiating agreements in Spanish).
  • Adept at operating within a matrix organization.
  • Comfortable navigating complexity and ambiguity.
  • Able to engage with and support executive leadership and McDermott's Board of Directors.
  • Knowledgeable about legal practices in the United States and South America.
  • Demonstrated experience successfully leading teams for large, international corporations.
  • Strong understanding of contract law and practices.
  • Exceptional writing and negotiation skills.
  • Excellent communication and presentation abilities.
  • High standards of professional ethics and integrity, sound judgment, and the capacity to analyze situations and information.
  • Willingness to travel to Mexico.
