Senior Counsel Corporate Transactions

Our client, a leading global life insurance company, is seeking a seasoned Senior Counsel to join their corporate transactions team. As a key member of the team, you will provide expert legal advice on complex insurance growth and transactions, manage corporate governance activities, and support other areas within the company.

Key Responsibilities:
  • Provide legal counsel on complex transactions, including public and private legal entity acquisitions and reinsurance transactions.
  • Participate in the entire lifecycle of transactions, from development of preliminary bids and indications of interest through closing.
  • Draft and negotiate a wide range of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, joint venture agreements, trust agreements, and administrative services agreements.
  • Collaborate with senior management on strategic and tactical decision-making, providing counsel on all legal aspects related to contemplated transactions.
  • Act as primary US counsel for all governance and corporate authority matters.
  • Oversee preparation of annual and periodic regulatory filings, as well as review and input on quarterly and annual financial statements.
  • Supervise senior corporate paralegals in matters related to maintenance of corporate records and multiple Boards of Directors and committee meetings.
  • Advise and collaborate closely with other functions across the company, including finance, actuarial, investments, risk, and operations.
  • Manage and oversee outside law firms to obtain world-class, cost-effective legal services.
Requirements:
  • Law degree from an accredited U.S. law school.
  • Current bar license in good standing and compliant with state requirements.
  • Minimum 6 years related experience.
  • Must have Life Insurance/Reinsurance experience.
  • Team player with ability to contribute and develop expertise in multiple areas, often with limited guidance.
  • Familiarity with the Model Holding Company Act.
  • Experience managing government affairs a plus.
  • Ability to work under pressure with a high degree of attention to detail.
  • Demonstrated leadership presence and skills.
  • Superior interpersonal, organizational, written, and oral communications skills.

This position is located in NYC and will work a hybrid schedule of 2-3 days in the office/week. The company offers a competitive base salary, annual bonus, and Long Term Incentive Bonus plan, as well as a comprehensive benefits package.
