Overview

We are seeking a highly skilled attorney to join our Corporate Counseling & Transactions Unit (CC&T) in Bloomington, IL. As a member of our team, you will advise on a variety of technology matters, including transactions for technology services, vendor contracts, and intellectual property ownership/licensing.

The ideal candidate will have a strong background in transactional law, with experience in drafting and negotiating technology agreements. You will work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to ensure that our technology relationships are aligned with our business goals.

This is a hybrid role, requiring a combination of in-office and virtual work. You will be expected to spend the majority of your time in the office, with the possibility of adjusting your work arrangement based on business needs.

Responsibilities
  • Advise on legal issues related to transactions for technology services, including vendor contracts and intellectual property ownership/licensing
  • Draft and negotiate technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements
  • Assist in contract negotiation and serve as a counseling role, advising business areas on allocating business and legal risks associated with vendor relationships
  • Work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to ensure that our technology relationships are aligned with our business goals
Qualifications
  • J.D. from an ABA accredited law school and excellent academic credentials
  • Active license to practice law in at least one state and a member in good standing of the bar
  • Must be able to obtain a limited license in IL if not already appropriately licensed in IL
  • Attorney with 3-6 years of transactional experience, preferably with experience or acumen in the technology area
  • Commitment to providing quality legal advice, learning agility, and a history of enthusiastic participation in a team environment
