We are seeking an experienced Senior Director, Corporate Legal to join our team at the New York State Insurance Fund. Key Responsibilities- Securities Law and Compliance: Provide primary legal support for public company reporting and SEC compliance, including Annual Reports, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, and the annual meeting proxy statement.
- Equity-Based Compensation: Provide advice regarding equity-based compensation plans, executive compensation matters, and Section 16 reporting.
- Corporate Governance: Provide legal advice and counseling with respect to corporate governance matters, including insider trading and Regulation FD.
- Transaction Support: Provide securities law advice and compliance guidance for complex transactions, including license agreements and collaborations.
- Board Support: Assist with providing legal support to the Board of Directors and Board Committees, including advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings.
- Corporate Secretary: Assist with the corporate secretary function and various other corporate secretarial matters.
- Outside Counsel Management: Manage outside counsel as needed in connection with executing the above responsibilities and duties.
- Juris Doctorate and admission to a state bar (or eligibility for in-house counsel admission).
- 7-10 years legal experience across life science companies and large law firms.
- Demonstrated expertise in corporate governance matters and SEC compliance required.
- Demonstrated expertise and experience providing legal advice for complex transactions, license agreements, or collaborations is strongly preferred.
- Outstanding communication and interpersonal skills, with strong ability to communicate across various functions.
- Exceptional judgment and interpersonal skills.
- Capacity to simultaneously handle a variety of complex legal matters with minimal guidance.
Base salary is determined by several factors that include, but are not limited to, a successful candidate's qualifications, skills, education, experience, business needs, and market demands. The role may also be eligible for bonus, equity, and comprehensive benefits, which include flexible paid time off (PTO), medical, dental, vision, and life and disability insurance.
