Associate General Counsel

We are seeking an experienced Associate General Counsel to join our Legal Department. Reporting directly to the Vice President/General Counsel, this role will provide proactive legal support across our real estate development, homebuilding activities, joint ventures, and secured bridge lending business for GF Capital and other family office entities.

Key Responsibilities:
  • Draft, review, and negotiate real estate transactional documents, including purchase and sale agreements, construction contracts, leases, and corporate formation documents.
  • Provide legal advice and support for structuring, negotiating, and closing mortgage loans, mezzanine loans, and other financing transactions.
  • Conduct title reviews, prepare loan documents, and ensure compliance with escrow and title company requirements.
  • Assist with the acquisition and disposition of real estate assets, offering strategic guidance throughout each transaction.
  • Oversee and collaborate with outside counsel on transactions and litigation matters.
  • Support internal legal and business teams, ensuring alignment with organizational goals.
  • Take on additional duties as needed to support corporate, legal, and business functions.
Requirements:
  • Juris Doctor (JD) from an accredited law school with strong academic performance.
  • Active member of the California Bar in good standing.
  • Minimum of 3+ years of experience in a law firm or in-house legal department with a focus on real estate and lending transactions (lending experience is a plus).
  • Proven expertise in reviewing loan documents, due diligence materials, leases, purchase and sale agreements, and title reports.
  • Strong ability to analyze complex contracts, propose practical solutions, and exercise sound judgment, even in ambiguous situations.
  • Exceptional written and verbal communication skills with the ability to build strong relationships both internally and externally.
  • Excellent organizational skills with the ability to manage multiple projects in a fast-paced environment and meet tight deadlines.
  • Proficiency in Microsoft Word and Excel.
Compensation & Benefits:
  • Salary range: $130,000 – $180,000, based on qualifications and experience.
  • Discretionary bonus potential.
  • Comprehensive benefits package including medical, dental, vision, and a 401(k) plan with guaranteed company contributions.
