Job Summary

We are seeking a highly skilled and experienced Transactions Lawyer to join our legal team. The ideal candidate will have a strong background in real estate law, particularly in transactions involving complex capital, including debt, equity, private offering documents, purchase and sale agreements, and other related transaction documents.

Key Responsibilities
  • Provide legal support in land acquisition and closing transactions, ensuring compliance with applicable laws and regulations.
  • Conduct thorough due diligence on real estate transactions, including title reviews, zoning regulations, and environmental assessments.
  • Assist the legal team in negotiating and preparing loan documents for construction financing and multifamily property loans, including the structuring and negotiation of preferred equity and joint venture agreements.
  • Draft, review, and negotiate private placement memoranda (PPM) and offering documents related to real estate capital market transactions.
  • Draft, review, and negotiate Purchase and Sale agreements for multifamily properties.
  • Provide analytical and strategic advice to management and stakeholders as required, enhancing the overall decision-making process.
Requirements
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the State Bar of Texas and in good standing.
  • 7+ years of experience practicing real estate law, with a focus on transactions related to real estate capital markets (equity, debt, mezzanine, and preferred equity), preferably as an in-house attorney.
  • Proven experience in negotiating and drafting complex real estate financing documents.
  • Strong understanding of legal concepts associated with land closing, due diligence, and transaction documents.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to work collaboratively in a fast-paced environment and manage multiple projects simultaneously.
