Position Overview

Role Summary

The Chief Legal Officer is primarily tasked with collaborating with the Executive Vice President and Corporate Counsel to deliver legal counsel to the President and the Executive Leadership team at Nueva Esperanza. This role involves representing the organization in legal matters that pertain to external agencies, business partners, governmental bodies, stakeholders, or complainants.

The Chief Legal Officer also provides legal guidance across all departmental and programmatic areas within Nueva Esperanza and advises the Board of Directors on pertinent legal issues.

Legal Representation Responsibilities

The Chief Legal Officer is accountable for offering legal representation, advice, and opinions across various substantive legal domains impacting the organization, including but not limited to:

  1. Identifying legal concerns and advising the administration on appropriate responses.
  2. Collaborating with the Executive Vice President and Corporate Counsel to develop, amend, and interpret internal policies.
  3. Providing guidance on employment law, discrimination, diversity, and equal opportunity matters.
  4. Advising on corporate non-profit legal issues.
  5. Representing the organization in real estate transactions, litigation, and property-related matters.
  6. Offering counsel on educational legal issues.
  7. Representing the organization in administrative hearings and arbitration processes.
  8. Negotiating, drafting, and reviewing various contracts.
  9. Ensuring compliance with applicable federal and state laws and regulations.
  10. Monitoring and addressing disputes that may escalate to litigation.
  11. Engaging in ongoing legal education through Bar Association memberships and attending relevant seminars.

Administrative Duties

The Chief Legal Officer will:

  1. Partner with the Executive Vice President and Corporate Counsel to mitigate risks and ensure the implementation of current organizational policies.
  2. Oversee and manage specific programs, projects, and business units as assigned.
  3. Complete special assignments as requested by the Board or President.
  4. Contribute to the formulation and development of organizational policies and provide ongoing legal counsel on various matters.

Management Responsibilities

The Chief Legal Officer will:

  1. Structure and manage staff or organizational programs as assigned, utilizing independent judgment and decision-making.
  2. Direct the work of department support staff and provide development opportunities and training.

Qualifications and Skills

• Commitment to promoting Nueva Esperanza's mission and objectives.
• Ability to work autonomously while contributing to a collaborative team environment.
• Extensive knowledge of state and federal laws relevant to legal oversight, including real estate, contract, employment, and education law.
• Experience in corporate governance and working with a Board of Directors.
• Proficiency in managing external legal resources effectively.
• Strong leadership and supervisory skills.
• In-depth understanding of employment laws and their implications.
• Capability to mediate and resolve legal issues.
• Excellent communication skills, both verbal and written, to convey legal and technical information clearly.
• Strong interpersonal skills, demonstrating professionalism and courtesy in interactions with diverse groups.

Experience and Education Requirements

• Spanish language proficiency is preferred.
• Minimum of 5 years of experience as a practicing attorney, ideally with prior law firm experience before transitioning to an in-house role; experience in non-profit sectors related to human resources or community development is advantageous.
• Juris Doctor degree from an accredited institution is required.
• Must be licensed to practice law in Pennsylvania.
