Job Summary

PAM Health, LLC is seeking a highly skilled Corporate Healthcare Paralegal to join our Legal Department. As a key member of our team, you will provide paralegal services and support to our attorneys in connection with healthcare-related issues.

Key Responsibilities
  • Assist in the formation, dissolution, and maintenance of corporate entities, including subsidiaries and director and officer information.
  • Draft and maintain meeting minutes, corporate secretarial certificates, and corporate resolutions.
  • Maintain records for corporate subsidiaries, director and officer information, corporate record keeping, transaction execution, governance policies, and compliance processes.
  • Assist with mergers and acquisitions, real estate purchases, and other transactions, including preparation of transaction deal term summaries, preparation of corporate documents and certificates, coordination of due diligence, determination and tracking of critical dates, and serving as point person for closings.
  • Review and track leases, contracts, and other corporate agreements.
  • Assist with the preparation of legal documents related to financing.
  • Document management, including gathering, indexing, analyzing, and producing documents and data in various electronic formats.
  • Prepare general correspondence and reports.
Requirements
  • Bachelor's or Associate's Degree and/or Paralegal Certificate preferred.
  • 3+ years of in-house or law firm experience preferred.
  • Knowledge of health law, corporate law, mergers and acquisitions, and/or real estate is preferred.
  • Ability to take direction, set priorities, and see assigned tasks through to completion.
  • Working knowledge of Microsoft Office and Excel.
  • Excellent oral, written, and interpersonal communication skills.
  • Excellent organizational skills.
  • Must be able to work independently, with limited or no supervision.
  • Customer and client orientation.
