Job Title: Associate General Counsel for Transactional Law and Intellectual Property

Planned Parenthood Federation of America (PPFA) is seeking a highly skilled Associate General Counsel to join our Office of the General Counsel. As a key member of our team, you will provide first-rate legal advice and business leadership on a wide range of matters, including intellectual property (IP) matters and litigation.

About the Role:

The Associate General Counsel will work closely with National Office senior leadership and staff to support all aspects of our communications and brand work. You will also support all aspects of our transactional and business litigation matters.

Key Responsibilities:
  • Provide thought-partnership, expertise, and legal advice on commercial agreements, mitigation of business and legal risk, and appropriate legal documentation.
  • Draft and negotiate commercial contracts in numerous subject areas.
  • Advise and assist clients with dispute resolution.
  • Work closely with Finance Dept. procurement team.
  • Develop strategies and processes to address contracting needs across the organization.
  • Foster collaborative client relationships to ensure that OGC continues to be a trusted partner across organizational units.
  • Providing advice and counsel to business partners on intellectual property matters relevant to our communications, brand, and operational activities.
  • Lead management of trademark portfolio.
  • Draft IP licenses and assignments, and provide IP support on other complex legal agreements.
  • Develop and deliver training for National Office staff on IP matters.
  • Prepare written IP policies and guidance materials.
  • Advise on IP strategy.
Requirements:
  • Juris Doctor (JD) from accredited U.S. law school.
  • Eligible to practice in New York or Washington, DC.
  • Minimum 7 years of transactional legal experience, including trademark and copyright matters.
  • Assessing, structuring, and mitigating the risks of programs, projects, and policy initiatives relating to intellectual property, brand protection, publicity, and communications.
  • Knowledge of corporate transaction and contracting processes, including drafting, reviewing, revising, and negotiating complex agreements.
  • Knowledge of litigation and other dispute resolution procedures and processes.
  • General knowledge of tax-exempt laws, and general non-for-profit corporate and governance matters.

  • Excellent judgment and proven experience analyzing risks and making risk determinations.
  • Excellent written and verbal communication skills, including the ability to translate complicated legal concepts into accessible language for a wide audience.
  • Ability to excel under pressure in a fast-paced, highly innovative, and rapidly changing environment.
  • Ability to work collaboratively with program and operations teams.
  • Knowledge of and sensitivity to different racial/ethnic and socioeconomic backgrounds, and people with different gender identities, cultural differences, and disabilities.
What We Offer:

We offer a competitive salary range of $172,000 - $187,000 per year, as well as a comprehensive benefits package, including generous vacation and sick leave, paid holidays, individual and family medical, dental, and vision benefits, life insurance, short and long-term disability, paid family leave, and 401(k) plan.
