A&D Mortgage LLC is seeking a detail-oriented Corporate Law Paralegal to support our Legal team. This role involves working on various corporate legal matters, including contract review, compliance, and governance.


Key Responsibilities:
  • Corporate Document Preparation: Assist with the preparation, review, and execution of corporate documents, including contracts, non-disclosure agreements, and licensing agreements.
  • Legal Research: Conduct legal research and compile data for attorneys to review.
  • Corporate Record Maintenance: Maintain corporate records, including minutes, resolutions, and other governance documents.
  • Compliance Management: Assist in managing compliance-related documentation and ensure adherence to corporate policies.
  • Cross-Functional Coordination: Coordinate with outside counsel and internal departments such as Compliance, Finance, and IT.
  • Correspondence and Document Drafting: Draft and review correspondence, agreements, and other legal documents.
  • Corporate Transaction Support: Assist with corporate transactions, including mergers and acquisitions, corporate structuring, and due diligence.
  • Administrative Support: Support the General Counsel in administrative tasks, including scheduling, file management, and recordkeeping.

Qualifications:
  • Education: Bachelor's degree or Paralegal Certificate from an accredited institution.
  • Experience: Minimum 3-5 years of experience as a corporate paralegal, preferably in a legal department or law firm.
  • Candidates Should Have: Experience with corporate governance and compliance processes.
  • Key Skills: Strong research and writing skills. Proficiency in Microsoft Office Suite, particularly Word, Excel, and PowerPoint. Ability to manage multiple priorities and work independently in a fast-paced environment. Excellent communication skills, both verbal and written.

Preferred Qualifications:
  • Industry Experience: Experience in the mortgage or financial services industry.
  • Licensing and Compliance: Familiarity with licensing agreements and data security compliance.
  • Cross-Functional Experience: Experience working with cross-functional teams, including Legal, Compliance, IT, and Finance departments.
