About the Role

The Corporate Counsel will report to the company's General Counsel and assist with mitigating business risks. This position will focus on contract management, training, and policy advice.

Key Responsibilities
  • Partners with business leaders to deliver services that support company objectives and that are consistent with Winning Together values.
  • Reviews and negotiates all third-party contracts, ensuring responsiveness in accordance with company service level commitments.
  • Drafts, negotiates, and reviews all third-party contractual documents, including reseller agreements and equipment leases.
  • Assists departmental managers with the creation of one-off agreements, such as channel partners, evaluation agreements, and warehousing agreements.
  • Advises managers of legal risk and business risks related to contractual relationships.
  • Reviews Statements of Work and Service Orders as needed.
  • Ensures company compliance with contract terms.
  • Develops and updates contract templates.
  • Develops and recommends contract department's processes, working with Purchasing, IT, and Sales departments to implement controls.
  • Guides sales proposals through process and identifies and mitigates risk issues in achievement of strategic business goals.
  • Works with IT team on review and responding to data security agreements with customers.
  • Provides training on contract processes.
Requirements
  • Legally eligible to work in the United States.
  • JD required.
  • Current member in good standing of the state bar.
  • 1-4 years of contracts experience in the technology industry.
  • 1-5 years of experience as an attorney, including law firm experience.
  • Specific and technical knowledge of contract types, methods, and procedures and basic principles of contract law.
  • Ability to prioritize, multi-task, and work effectively both independently and as part of a team.
  • Excellent interpersonal and organizational skills.
  • Must be result-oriented with a high level of integrity and honesty.
  • Must be able to regularly exercise independent discretion and judgment within defined policies.
