We are seeking a highly skilled and experienced Corporate Governance and Securities professional to join our legal team at Compass Business Solutions Inc. This individual will play a critical role in supporting our executive management, board members, and advisors. Reporting directly to the General Counsel & Secretary, the successful candidate will be responsible for a wide range of corporate governance, securities, and legal operations tasks.
Responsibilities:
Corporate Governance:
- Manage Board and committee meetings, including preparation of materials, minutes, and resolutions.
- Oversee director onboarding and offboarding.
- Maintain corporate records and support governance-related inquiries.
- Support SEC filings, including Forms 3, 4, 5, 10-K, 10-Q, and 8-K.
- Coordinate annual shareholder meetings and proxy materials.
- Ensure compliance with SEC, NYSE, and other regulatory requirements.
- Manage domestic subsidiary matters, including formations, dissolutions, and filings.
- Maintain legal entity documentation and compliance.
- Track contracts and licenses.
- Assist with document management and closing processes.
- Perform special projects as assigned.
- Minimum of ten years of corporate legal experience with a strong foundation in governance and securities.
- Bachelor's degree and paralegal certification preferred.
- Demonstrated expertise in securities and corporate laws.
- Real estate experience preferred.
- Exceptional written and verbal communication skills.
- Proficiency with electronic board portals and financial printers.
- Meticulous attention to detail and strong organizational abilities.
- Ability to prioritize workload and manage multiple deadlines in a dynamic environment.
