Corporate and Securities Counsel

Genesys Cloud Services, Inc. is seeking an experienced Corporate and Securities Counsel to join our growing legal team. As a key member of our team, you will play a critical role in advising on high-profile M&A, capital markets, and other strategic transactions, as well as corporate compliance and disclosure matters.

Key Responsibilities:
  • Lead legal due diligence activities and provide counsel on structuring, antitrust, and other compliance matters.
  • Partner with cross-functional teams to support corporate development initiatives, transactions, and integrations.
  • Draft and negotiate a wide range of contracts, including confidentiality, vendor, and partnership agreements.
  • Advise on the company's debt and equity securities offerings and financial transactions.
  • Support the treasury function, including advising on compliance with debt covenants and managing financial risk.
  • Oversee the preparation and filing of 10-Ks, 10-Qs, 8-Ks, proxy statements, Section 16 reports, and related documents and disclosure, ensuring accuracy, timeliness, and compliance.
  • Work closely with senior leadership and investor relations on disclosure matters.
  • Assist with public communications, including press releases and investor presentations.
  • Advise on the company's sustainability reporting efforts and alignment with evolving global standards and regulations.
  • Develop, implement, and lead training on corporate policies and legal developments.
  • Stay current on trends, legal developments, and best practices.
  • Coordinate and oversee the work of external counsel to optimize outcomes and manage costs.
Requirements:
  • J.D. degree from a top-tier law school in the United States and licensed to practice law in good standing in at least one state in the United States.
  • At least seven years of experience in M&A, capital markets, and/or corporate advisory practice.
  • Prior experience working as a corporate transactional attorney at a reputable law firm or in an in-house corporate legal department at a public or late-stage private company.
  • Excellent academic credentials.
