Job Summary:
The Sr. Counsel Corporate and Securities role at US Foods, Inc. is a hybrid position that requires expertise in corporate securities law, compliance, and governance. As a key member of the legal team, you will oversee public company reporting, ensure compliance with securities laws, and advise on corporate governance best practices.

About the Role:
This senior-level position involves leading legal support for capital markets transactions, managing relationships with internal teams and external partners, and ensuring accurate and timely disclosure of financial and non-financial information. The ideal candidate will have a minimum of 5 years of experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment.

Responsibilities:
• Oversee and manage all public company reporting and disclosure obligations, including preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
• Ensure compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.
• Provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.

• Work closely with finance, investor relations, and external advisors to ensure accurate and timely disclosure of financial and non-financial information.
• Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
• Manage corporate governance documentation, including drafting board resolutions, charters, bylaws, and preparing materials for board and committee meetings.

Key Qualifications:
• Minimum 5 years of experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment.
• Exemplary relationship building, negotiation, drafting, and problem-solving skills.
• Ability to manage complex matters with executive management and board level stakeholders.

Compensation and Benefits:
The expected base rate for this role is between $110,000 and $180,000. This role will also receive an Annual incentive plan bonus and a Long-Term Incentive. Benefits may include health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.
