RILA is a leading trade association in the retail industry, driving operational excellence and innovation through collaboration with its members.

We are seeking an experienced Corporate Staff Attorney to join our team as a Vice President, Legal Affairs. This role will play a key part in shaping the legal strategy of RILA, ensuring compliance with antitrust regulations, and handling contract negotiations.

About the Role:

  1. The VP, Legal Affairs will report to the Senior EVP & General Counsel and assist with carrying out the legal operations of the association.
  2. This position will be responsible for handling matters involving general legal counseling, antitrust compliance, reviewing and drafting contracts, intellectual property, and corporate governance programs.
  3. You will work closely with the VP, Administration on employment-related matters, such as handbook development, staff adjustments, and other employee-related legal issues.

Responsibilities:

  1. Review and negotiate contracts to which RILA is a party, including outside vendors, sponsorship agreements, non-disclosure contracts, and other types of agreements.
  2. Develop and maintain an in-house contract management system.
  3. Support legal work needed by other RILA functions, including subpoena responses, cease and desist letters, and antitrust issues related to membership.
  4. Staff training on select issues, such as antitrust, harassment, and contracts, with the assistance of outside counsel where necessary.
  5. Maintain all state filings for RILA, including foreign corporation filings, annual entity filings, and website policies.
  6. Manage RILA's IP portfolio and assist with PAC compliance and reporting.

Requirements:

  • J.D. degree and license to practice as an attorney under the laws of any state (DC preferred).
  • Four to six years of experience in corporate legal areas relevant to trade association practice, including contracts, antitrust, PAC compliance, employment matters, and website policies.
  • Excellent analytical, organizational, and writing skills.
  • Attention to detail and proficiency with Microsoft Office products.
  • Experience with project management software and database systems preferred.
