We are seeking a highly skilled and detail-oriented Mergers and Acquisitions Contract Specialist to join our team at Catapult Staffing. Key Responsibilities- Oversee all aspects of the M&A contracting function, ensuring compliance with company policies and procedures.
- Manage and track contracts throughout their lifecycle, including drafting, redlining, and negotiating contracts.
- Review M&A due diligence, meet with stakeholders, and present findings to ensure compliance and assess risks.
- Drive the development and execution of post-acquisition combination and integration work plans.
- Ensure all contracts comply with local, state, and federal laws.
- Oversee the pipeline of contractors and vendors, ensuring timely and efficient management.
- Prepare contract letters and other legal communications and notices.
- Assess needs and develop new policies for the Contracts Department.
- Enhance filing and data control processes to ensure compliance with standards.
- Monitor and manage inbound email traffic, triage emails for required actions and urgency, and escalate potential issues to senior leadership.
- Serve as the primary point of contact for certificates of insurance requirements for both internal and external customers.
- Support the administration of the contract database and filing system, ensuring consistent standards for data entry and document storage.
- Assist sales operations by interpreting contractual requirements in RFPs and bid responses and prepare responses to information requests for inclusion in RFP bid submissions.
- Juris Doctorate.
- A minimum of three years of legal experience in a corporate environment.
- A minimum of 1-2 years of M&A experience.
- Knowledge of accounting/finance principles.
- Strong legal research, reading, and writing skills.
- Exceptional attention to detail.
- Skilled in time management and task prioritization.
- Strong computer skills and familiarity with systems such as Salesforce and Conga.
- Ability to exercise professional judgment to adapt procedures, processes, and techniques.
- Ability to initiate and drive projects to completion with minimal guidance.
- Ability to manage highly confidential information with professionalism and integrity.
