About the Role

We are seeking a highly skilled and experienced attorney to join our Corporate Counseling & Transactions Unit (CC&T) as a Counsel. This role will be responsible for advising on a variety of technology matters, including transactions for technology services, vendor contracts, and intellectual property ownership/licensing.

Key Responsibilities
  • Advise on legal issues related to transactions for technology services, including counseling our Enterprise Technology Department and other business areas on vendor contracts.
  • Draft and negotiate a variety of technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements.
  • Assist in contract negotiation and serve as a counseling role, advising business areas on allocating business and legal risks associated with vendor relationships.
Requirements
  • J.D. from an ABA accredited law school and excellent academic credentials.
  • Active license to practice law in at least one state and a member in good standing of the bar.
  • Ability to obtain a limited license in IL if not already appropriately licensed in IL.
  • 3-6 years of transactional experience, preferably with experience or acumen in the technology area.
  • Commitment to providing quality legal advice, learning agility, and a history of enthusiastic participation in a team environment.
  • Experience in drafting and negotiating technology related agreements is preferred.
  • Knowledge of legal principles and practices related to the subject matter of the lawyers area of practice is expected.
  • Proactive mindset and ability to anticipate and respond effectively to clients' needs.
