Position Summary:
We are seeking a proactive and business-oriented individual to join our vibrant legal team. The ideal candidate will possess the ability to analyze complex legal challenges, assess legal and business risks, propose actionable solutions, and effectively resolve issues. This role involves comprehensive management of assigned projects and initiatives.
Key Responsibilities:
General Corporate Matters
- Proactively work to mitigate litigation risks and provide guidance on potentially contentious issues.
- Collaborate with external legal counsel on various corporate matters.
- Support the executive team and various departments in addressing legal issues and ensuring compliance.
- Establish and oversee legal entities.
Real Estate Transactions
- Assist in various real estate transactions, including acquisitions and sales.
- Draft Letters of Intent for new ventures.
- Review and negotiate purchase and sale agreements.
Financing Activities
- Support all aspects of financing, including drafting and negotiating relevant agreements.
Corporate Governance
- Draft operating agreements and other essential documents for corporate entities.
- Manage corporate filings and internal compliance requirements.
Commercial Leasing
- Draft and negotiate lease agreements and amendments with commercial tenants.
Development Support
- Assist the development team with legal issues arising during project phases.
Asset Management
- Serve as legal counsel for property management operations.
- Collaborate with property managers on legal matters related to properties.
Litigation Management
- Oversee litigation matters handled by external counsel and provide updates to relevant stakeholders.
- Work with risk management on insurance claims and related issues.
Human Resources Collaboration
- Partner with HR to manage employment-related legal matters.
- Ensure compliance with real estate policies and local regulations.
Qualifications:
• Minimum of 3-4 years of relevant legal experience required.
• Juris Doctor (JD) and Bachelor's degree required.
• Experience in a large New York real estate law firm or corporate environment preferred.
• Strong verbal and written communication skills.
• Proven problem-solving abilities.
• Capacity to work independently and manage multiple priorities.
• Proficient in delivering clear and concise reports to senior management.
• Excellent organizational skills and attention to detail.
• Strong understanding of business concepts and critical thinking skills.
• Proficient in Microsoft Excel and Word.
• Ability to maintain confidentiality and uphold ethical standards.
