**Key Responsibilities:**

* Assist with or lead M&A transactions and venture financings, including due diligence, negotiation, drafting, and editing transaction documents.
* Provide strategic legal counsel to clients on corporate governance, compliance, and general corporate matters.
* Work as a key member of the team, delivering high-quality, responsive, and efficient legal services to clients.
* Mentor and supervise junior team members and paralegals, delegating tasks effectively to the team.
* Prepare pro formas and waterfalls for financing and exit transactions, discussing these models with clients.

**Requirements:**

* JD from an accredited, high-caliber law school.
* 4-7 years of experience as a corporate attorney with a focus on financings, M&A, and counseling startups and emerging growth companies.
* Strong academic and professional credentials.
* Commitment to responsiveness and client service.
* Exceptional communication and negotiation skills.
* Demonstrated ability to manage complex transactions.
* Strong drafting, negotiation, and analytical skills.
* Ability to manage multiple projects and deadlines simultaneously.
* Proven ability to work collaboratively in a team-oriented environment and also work independently and proactively without micromanagement.
