Job Title: Associate General Counsel

We are seeking a highly skilled and experienced Associate General Counsel to join our team at Resilience Corp. This is a unique opportunity to work with a technology-focused biomanufacturing company that is changing the way medicine is made.

Job Summary:

The Associate General Counsel will provide legal services to support the Commercial Sales and Business Development Teams, including contract drafting, negotiation, and management. The ideal candidate will have significant experience in the life sciences industry, particularly in manufacturing, and a strong understanding of contract law and negotiation.

Key Responsibilities:
  • Provide legal support to the Commercial Sales and Business Development Teams, including contract drafting, negotiation, and management.
  • Work closely with the heads of Resilience's various franchises to structure and negotiate agreements for the manufacture and supply of material for research, clinical trials, and commercial sale.
  • Manage, train, and develop members of the Legal Team tasked with supporting Resilience's Commercial Sales and Business Development Teams.
  • Collaborate cross-functionally to expand contract negotiation playbooks supporting Commercial and Business Development Teams.
  • Lead the development of policies and procedures relative to risk management and legal compliance in the context of customer contracts.
  • Draft, review, and advise on all matters of business agreements relating to the establishment, expansion, or change in customer relationships.
  • Assist with the timely review and resolution of customer inquiries, claims, and complaints.
  • Educate and train Commercial and Business Development Teams on contract principles, legal strategies, and compliance matters.
  • Develop a strong understanding of the various proprietary services and manufacturing technologies under development by Resilience and its collaborators and cooperate with IP counsel to consistently implement the company's IP strategy across all contractual relationships.
  • Develop, share, and deploy knowledge and best practices for working with customers, strategic collaborators, and innovators.
  • Manage outside counsel to ensure timely and knowledgeable support of critical transactions and legal matters.
Requirements:
  • Juris Doctorate and Bar admission.
  • Significant experience advising on, drafting, and negotiating GMP manufacturing agreements for the supply of clinical and commercial quantities of drug substance and/or drug product.
  • Excellent communication, legal drafting, and analytical skills.
  • Impeccable professional ethics, integrity, and judgment.
  • Detail-oriented, organized, efficient, and resourceful with strong follow-through skills.
  • Business-minded and practical in addressing legal issues.
  • Confident and sound judgment for risk assessment.
  • Thrive working on a team in a fast-paced environment with priorities that frequently change and occasionally compete.
  • Great communicator and solid project manager, able to effectively prioritize and advance many projects happening simultaneously, often under time pressure.
Preferred Qualifications:
  • 10 years or more of relevant experience in the Life Sciences industry, including manufacturing.
  • Large law firms and prior in-house experience.
  • Experience advising on, drafting, and negotiating complex agreements involving scientific subject matter and/or intellectual property.
  • Scientific background, with preference for persons with education and/or scientific experience in the areas of biotechnology, bioengineering, biological chemistry, gene therapy, or cell therapy.
  • Familiarity with SharePoint, Litera, and Ironclad.

Our target base pay hiring range for this position is $210,000.00 to $307,500.00 per year. Actual base pay is dependent upon a number of factors, including but not limited to, the candidate's geographical location, relevant experience, qualifications, skills, and knowledge.
