We are seeking a skilled attorney to join our Legal Department, working closely with the Chief Compliance Officer. This role supports our commitment to a flexible work environment, allowing candidates from various locations to apply.

Key Responsibilities:

  • Lead legal efforts on SEC filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
  • Oversee the company's stock and annual incentive compensation plan, ensuring compliance with the Insider Trading Policy.
  • Collaborate with finance and investor relations to maintain adherence to SEC regulations and Nasdaq governance standards.
  • Work with internal teams to facilitate SEC reporting and SOX compliance.
  • Stay informed on relevant legal developments, governance trends, and SEC updates.
  • Assist in public communications, including press releases and investor relations materials.
  • Support corporate governance functions and prepare materials for Board and committee meetings.
  • Provide legal guidance on capital market transactions, mergers, acquisitions, and other strategic initiatives.
  • Deliver strategic legal advice by understanding business objectives and identifying legal solutions.
  • Engage in various projects that support the Compliance Team across regions.

Qualifications:

  • 4-6 years of legal experience, ideally in both law firm and corporate settings.
  • Active state bar membership allowing practice in Massachusetts or another state.
  • Strong organizational skills with the ability to manage multiple projects in a dynamic environment.
  • Proactive team player with excellent interpersonal skills.
  • Creative problem solver with a focus on practical solutions.
  • Exceptional drafting and communication skills, capable of conveying complex legal concepts clearly.
  • Sound business judgment and strategic thinking capabilities.
  • Experience mentoring junior professionals is a plus.
  • Interest in technology, e-commerce, and online marketplaces.
  • Fluency in English is required; proficiency in a second European language is advantageous.
