Job Title: Tax Attorney

We are seeking a highly skilled Tax Attorney to join our team at Diedre Moire Corporation. As a Tax Attorney, you will play a critical role in protecting our clients' interests in mergers and acquisitions transactions.

Key Responsibilities:
  • Work closely with owners, investors, attorneys, and finance executives to identify and mitigate tax risks associated with M&A transactions.
  • Perform contractual and financial evaluations to assess acceptable Representations and Warranties Insurance coverage related to tax risks.
  • Support the development of insurance contracts to protect against adverse tax outcomes.
  • Analyze and advise on complex tax issues, including solar and wind farm tax credits, tax-free spin-off transactions, and state and local tax issues.
  • Review and assess tax risks, analyze tax opinions, and identify additional information necessary to gain comfort with tax positions.
  • Collaborate with outside tax counsel to verify and confirm loss calculations and interview potential insureds about tax risks.
  • Review and evaluate due diligence procedures, operational risks, and potential red flags in mergers and acquisitions deals.
Requirements:
  • Juris Doctor (JD) or Master of Law (LLM) in Tax with 4+ years of experience in Mid to Large Corporate Tax.
  • Expert-level knowledge of Mid and Large Corporate Tax Law.
  • Ability to assess accuracy of statements and assurances in representations and warranties from sellers in mergers and acquisitions transactions.
