Job Overview

We are seeking a highly skilled and experienced Executive Legal Assistant to join our team at Carter & West PC, a boutique transactional law firm focused on delivering exceptional results for our clients.

The ideal candidate will have a minimum of five years of experience in a transactional law practice, with a strong background in administrative support, corporate and real estate transactional experience, and document preparation.

Key Responsibilities
  1. Administrative Support
  • Provide exceptional administrative support to one or two attorneys, including document preparation, revisions, and formatting.
  • Conduct thorough research on public documents, County Recorder filings, and property history.
  • Utilize advanced proficiency in Outlook, Word, Excel, and a document management system like Worldox to manage calendars, schedule client meetings, and handle filing.
Corporate & Real Estate Transactional Experience
  • Prepare first drafts of basic organization documents, articles, bylaws, shareholder agreements, stock certificates, and stock ledgers.
  • Compile and maintain minute books and stock ledgers.
  • Conduct research to assist attorneys with filings to obtain business licenses, fictitious business name statements, and other filings.
  • Order lien searches, preliminary title reports, and summarize lien search results and PTR results.
  • Filing statutory filings, including amendments, dissolution documents, and statements of information.
  • Assist in due diligence matters, setting up data vaults, reviewing due diligence, creating due diligence checklists, and creating closing checklists.
  • Prepare and file UCC statements, amendments, and termination statements.
  • Create closing binders for sales, acquisitions, joint ventures, and other transactions.
