The RoleAs a Senior Corporate Counsel at Gemini, you will play a critical role in building a nimble and innovative legal organization that tackles complex legal challenges in the emerging asset class of cryptocurrency and blockchain technology.
Key Responsibilities- Lead Strategic Transactions: Coordinate due diligence, draft term sheets, negotiate definitive agreements, manage closing processes, and implement post-closing controls for financing and fundraising efforts.
- Scale Corporate Structure: Support the Gemini group's corporate structure, including capital contributions, equity awards, and required filings, audits, and returns.
- Manage Projects: Effectively and collaboratively manage projects to ensure timely completion and successful outcomes.
- Build Relationships: Develop positive and influential relationships with Gemini Leadership and cross-functional partners, promoting the Legal team's expertise and services across the company.
- Intellectual Property Management: Collaborate with the Chief Legal Officer and cross-functional teams to develop and implement a strategic approach to intellectual property management, protecting technological innovations and maintaining competitive advantage.
- Legal Risk Assessment: Evaluate and communicate legal risks to internal stakeholders and external parties, working closely with the Legal team.
- JD Degree: A Juris Doctor degree from an accredited law school.
- 10+ Years of Experience: 10+ years of relevant legal experience at a law firm or in-house, with a strong understanding of corporate law and strategic transactions.
- Disruptive Technology Experience: Strong knowledge of and interest in disruptive technology or financial services, with prior experience working in fintech, digital assets, or high-growth tech companies.
- Proven Track Record: Proven ability to proactively, efficiently, and accurately assess legal business risks in a fast-paced environment, with a track record of creative problem-solving and excellent written and oral communication skills.
The compensation and benefits package for this role includes:
- Competitive Starting Salary: A competitive starting salary range of $209,000 - $261,000 in the State of New York, the State of California, and the State of Washington.
- Discretionary Annual Bonus: A discretionary annual bonus.
