About the Role

This is an exciting opportunity to leverage your expertise in securities law and corporate governance to advise key business stakeholders and contribute to the development of innovative solutions to manage and mitigate risk to the firm. You will work closely with other attorneys in the Legal Department and with business leaders and stakeholders throughout the firm to provide legal advice on a diverse range of corporate, securities, governance and risk matters related to emerging and ongoing initiatives, including in response to a frequently changing regulatory environment.

The successful candidate will possess expert-level knowledge of federal and state securities laws and disclosure practices, including experience with filing annual, quarterly and interim reports. They will also have strong knowledge of general corporate law, including governance matters and complex subsidiary structures, as well as experience with partnership governance documents, including partnership agreements. Additionally, they will have familiarity with laws, rules, regulations, and disclosure practices related to risk management and risk management frameworks, and issues in the securities industry, including those involving the SEC, FINRA, and state securities regulators.

Your Key Responsibilities

Provide legal advice and guidance on a wide range of corporate, securities, governance and risk matters
Assist with the preparation and filing of required filings and disclosures with the SEC and other applicable regulators
Advise on the Firm's ownership structure, partnership interest offerings, and related disclosures
Support entity management, state registration and maintenance filings
Provide legal support and guidance to the Firm's enterprise risk management capability, advising on the development and maintenance of enterprise risk management and risk governance frameworks and programs in accordance with existing and proposed laws, rules, regulations, and industry best practices.

Short- and long-term disability, basic life, and basic AD&D coverage are provided at no cost to associates. We also offer a 401k retirement plan, and tax-advantaged accounts: health savings account, and flexible spending account. Edward Jones observes ten paid holidays and provides 15 days of vacation for new associates beginning on January 1 of each year, as well as sick time, personal days, and a paid day for volunteerism. Associates may be eligible for bonuses and profit sharing. All associates are eligible for the firm's Employee Assistance Program.

Salary Range

We offer a salary range of $163,886 to $279,048 per annum, based on qualifications and experience.

Hiring Requirements

To be considered for this role, you must meet the following requirements:
  • JD required
  • Preferred years of experience: 10 plus
  • Minimum of 6 years of progressive responsibility as a securities and/or corporate governance lawyer in private practice, the public sector, or in an in-house counsel capacity.
  • Experience within the financial services industry is preferred, but not required depending upon other relevant corporate law accomplishments
  • Experience with risk management frameworks and programs in a financial services organization is preferred but not required.
