Job Summary

Serving as the liaison between all companies, departments, and employees involved in the execution of a new legal agreement, the Contract Manager will spearhead the process by which contracts are consolidated and created, ensuring that contracts move quickly and smoothly from creation to negotiation to execution.

Key Responsibilities:
  • Craft, Evaluate, Negotiate, and Execute Contracts: Develop, review, and negotiate a wide variety of contracts covering various transactions.
  • Gather Business Requirements: Collect and analyze business requirements for new contracts.
  • Government Procurement Experience: Possess experience in government procurement contracts involving the licensing of software or SaaS solutions.
  • Facilitate Legal Discussions: Facilitate legal discussions around unresolved contract issues and liaise with external counsel.
  • Relationship Management: Create and maintain relationships with suppliers and serve as the singular point of contact for matters concerning contracts.
  • Communication and Presentation: Communicate and present information to business partners about all contract-related matters.
  • Document Management: Organize and manage documents, including the creation of draft contracts and repository systems.
  • Record Keeping: Maintain records for correspondence and documentation in relation to established contracts and those in progress.
  • Contract Monitoring: Monitor contracts and move forward with close-out, extension, or renewal according to company best interests.
  • Problem-Solving: Solve any contract-related problems that may arise with other parties and internally with the company itself.
  • Legal Document Preparation: Assist with the preparation, filing, and servicing of legal documents.
  • Document Collection and Review: Coordinate the collection, review, and production of documents and respond to discovery requests.
  • Contract Terms and Conditions: Summarize legal terms and conditions within various contract-related forms.
  • Research and Comparison: Research and compare various State/Local government legal provisions.
  • Document Template Creation: Compile information and prepare template versions of Company legal documents (e.g., Software License Agreements).
Requirements:
  • Negotiation Techniques: Possess strong negotiation techniques.
  • Conflict Resolution: Have conflict resolution experience.
  • Risk Management: Demonstrate risk management skills.
  • Attention to Detail: Ability to be thorough and pay attention to detail.
  • Legal Research and Investigation: Possess legal research and investigation skills.
  • Organization and Time Management: Excellent organization skills to meet deadlines.
  • Communication and Presentation: Strong written and oral communication skills.
  • Workload Prioritization: Ability to prioritize workload and assignments.
Qualifications and Certifications:
  • Education: Bachelors' Degree in Business Administration or commensurate experience.
  • Contract Negotiation Experience: 3-5 years actively negotiating contracts.
  • Contract Review and Revision: Experience in contract review, revision, and negotiation is required.
  • CPCM Certification: CPCM certification (Certified Professional Contracts Manager) awarded by the NCMA or able to obtain within a year of employment.
  • Legal Document Preparation: Experience drafting, cite-checking, and correcting legal briefs.
  • Document Management: Experience managing medium to large-scale document productions.
  • International Contract Experience: International contract experience a plus.
  • Software Proficiency: Proficiency with Document Review Software, case management software, word processing, and spreadsheet software.
