The Corporate Securities Attorney will play a pivotal role in US Foods, Inc., ensuring seamless compliance with securities laws and regulations. This position requires an expert in corporate governance, securities transactions, and regulatory reporting.

Overview

This Sr. Counsel Corporate and Securities position is ideal for a seasoned attorney seeking a hybrid work environment, offering three onsite days per week and remote work opportunities. Collaborate with cross-functional teams to ensure compliance with federal and state laws while managing complex legal transactions.

Key Responsibilities:
  • Securities Law Compliance and Reporting: Oversee public company reporting and disclosure obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
  • CORPORATE GOVERNANCE ADVISORY: Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
  • Transactional and Strategic Support: Lead legal aspects of capital markets transactions, mergers, acquisitions, joint ventures, and other strategic activities.
Requirements:
  • Minimum 5 years of experience in corporate securities law and at least 3 years in an in-house public company or large law firm environment.
  • Exemplary relationship-building, negotiation, drafting, and problem-solving skills.
  • Demonstrated success in managing public company reporting, corporate governance, and securities transactions.
Benefits and Compensation:

The base salary for this role ranges from $110,000 to $180,000. In addition to the base rate, you can expect an Annual incentive plan bonus and a Long-Term Incentive. Benefits may include health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.
