Role Overview
The Corporate Governance Senior Analyst will deliver project management and paralegal assistance within the Corporate Governance sector, collaborating closely with the Director of Corporate Governance on various tasks associated with subsidiary oversight for Zoetis' international network of entities. This role will also provide support for additional operational matters within the Zoetis Legal Function.
Key Responsibilities:
- Collaborate with the Corporate Governance team to enhance our subsidiary management and legal entity governance strategy, which includes drafting corporate legal documents, powers of attorney, local filings, and registrations, while coordinating with internal team members and external service providers.
- Assist with special projects related to the Legal function and subsidiary governance, including corporate reorganizations, integrations, and the formation or dissolution of entities.
- Monitor international legal entity modifications and maintain the global subsidiary entity database, ensuring the repository of corporate documents is up-to-date and preparing necessary compliance materials (e.g., KYC and UBO requests, director and officer lists, entity structure charts, and other corporate details).
- Contribute to project management and organization in relation to compliance with global sustainability obligations.
Qualifications:
- Associate's degree is required; Bachelor's degree is preferred.
- A Certificate in Paralegal Studies is preferred.
- 3-5 years of relevant experience in a corporate or legal firm environment is preferred.
Required Skills:
- Demonstrated attention to detail with strong organizational, communication, analytical, and problem-solving abilities.
- Experience in project management with the capacity to prioritize multiple tasks and work independently.
- Exhibit professionalism and diplomacy in all interactions.
- Ability to engage professionally with senior management.
- Proficient in Microsoft Suite applications, with a willingness to learn additional Zoetis software applications as needed.
Work Environment:
- This position operates in a hybrid work setting, requiring approximately 50% of the time on-site.
- Collaboration with global teams across various time zones is essential.
