Role Overview

The Lead Legal Advisor will collaborate closely with the Deputy General Counsel and other legal team members.

Key Responsibilities

  • Provide counsel on all legal issues pertaining to registered funds, including the drafting and evaluation of all offering materials, marketing documents, and ensuring compliance with SEC and FINRA regulations.
  • Offer legal guidance and support regarding compliance with the 1940 Act in relation to transactions, fund of funds issues, advisory services, and more.
  • Negotiate a diverse array of agreements with registered fund stakeholders, including closed-end funds, mutual funds, real estate investment trusts, and various fund management entities.
  • Oversee external legal counsel as required.
  • Collaborate with other legal team members on various projects as they emerge.

Candidate Profile

  • Juris Doctor degree from a prestigious law school with outstanding academic performance.
  • Licensed to practice in New York State.
  • 4-10 years of experience in the Registered Funds/Mutual Funds practice area at a leading law firm or in-house at a registered fund or banking institution.
  • Extensive knowledge of the '40 Act, registered fund formation, and mutual fund legal issues.
  • A collaborative team player.
  • Exceptional communication abilities.
