Overview

We are seeking a highly skilled and experienced attorney to join our Corporate Counseling & Transactions Unit (CC&T) at State Farm. As a key member of our team, you will play a critical role in advising on a variety of technology matters, including transactions for technology services, vendor contracts, and intellectual property ownership/licensing.

As a technology transactions attorney, you will work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to provide expert legal advice on complex technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements.

Responsibilities
  • Advise on legal issues related to transactions for technology services, including vendor contracts, data security, data licensing, and IP ownership/licensing.
  • Draft and negotiate technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements.
  • Provide counseling on allocating business and legal risks associated with vendor relationships.
  • Work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to provide expert legal advice.
  • Collaborate with our team to develop and implement strategies for managing technology-related risks and opportunities.
Qualifications
  • J.D. from an ABA accredited law school and excellent academic credentials.
  • Active license to practice law in at least one state and a member in good standing of the bar.
  • Ability to obtain a limited license in IL if not already appropriately licensed in IL.
  • 3-6 years of transactional experience, preferably with experience or acumen in the technology area.
  • Commitment to providing quality legal advice, learning agility, and a history of enthusiastic participation in a team environment.
  • Experience in drafting and negotiating technology-related agreements is preferred.
  • Knowledge of legal principles and practices related to the subject matter of the lawyer's area of practice is expected.
Additional Details
  • Employees are not permitted to handle any legal business outside of State Farm except authorized pro bono work.
  • Newly hired employees must cease all outside practice and all suit involvement before joining State Farm.
  • Travel may be required via commercial transportation or driving to job-related activities.
  • May work irregular hours due to workload and nature of work.
