Job Overview

This role supports the Corporate Legal team with a focus on North American subsidiary corporate governance work, covering domestic and international matters. You will provide support in managing regulated entity board meeting management, annual/quarterly reports, filings, and maintaining corporate and subsidiary records.

You will also respond to internal requests for corporate information, including regulatory exam documentation, internal audit requests, and treasury requests. This role requires strong research skills, solid organizational abilities, and excellent written and verbal communication skills.

The estimated salary range for this position is $78,750 - 105,000 USD per year, with total on-target compensation including a base salary and short-term incentives aligned with individual and company performance.

Key Responsibilities
  • Manage subsidiary management and maintenance, including regulated entity board meeting management, annual/quarterly reports, and filings.
  • Respond to internal requests for corporate information, including regulatory exam documentation, internal audit requests, and treasury requests.
  • Support annual proxy statement and stakeholder outreach, as well as various securities and treasury matters.
  • Support merger and acquisition efforts, including due diligence, non-disclosure agreements, and project management.
Requirements and Qualifications
  • Minimum 3+ years of legal experience with a law firm or corporate legal department.
  • Preferred: ABA-approved paralegal certificate or an advanced degree from an accredited school with applicable work experience.
  • Strong research skills and solid organizational abilities.
  • Excellent written and verbal communication skills, with ability to provide analytical and consultative direction.
  • Ability to communicate effectively with all levels of management and handle confidential information.
  • Demonstrated experience with review of complex legal documents and preparation of complex legal responses/documents at a paraprofessional level.
  • Familiarity with platforms such as Boardvantage and hCue is beneficial.
