About the RoleWe are seeking a seasoned Political Risk Insurance Attorney Consultant to provide expert support to the International Development Finance Corporation (DFC).
The DFC serves as America's development finance institution, collaborating with the private sector to finance solutions to the most pressing challenges in the developing world. One of DFC's primary offerings is political risk insurance (PRI), which provides coverage of up to $1 billion against losses stemming from currency inconvertibility, government interference, and political violence, including terrorism. DFC also offers reinsurance to enhance underwriting capacity. This role requires a knowledgeable expert in PRI to assist with insurance operations on a consultancy basis.
The Political Risk Insurance Attorney Consultant will work closely with the Office of General Counsel (OGC), which is tasked with providing legal advice on a broad spectrum of international finance, investment, and banking matters related to DFC's mission. The consultant will support DFC through OGC on PRI-related issues, including high-level assistance in structuring and negotiating PRI coverage for relevant projects, and advising on the identification and resolution of policy, statutory, and public international law matters that arise during transactions. The consultant will also facilitate coordination between OGC and DFC's business lines concerning PRI-related issues.
This role is primarily based at the U.S. Agency's office.
Key Responsibilities- At the initial project evaluation stage, identify and raise structural, legal, and policy issues for the Associate/Deputy Associate General Counsel (D/AGCs).
- Support Project Attorneys in conducting project due diligence as projects progress, providing options for resolving outstanding issues and framing questions for escalation to D/AGCs and Senior Management as necessary.
- Review project approval reports and related memoranda for submission to D/AGCs, Senior Management, Underwriting and Investment Committees, and/or the Board of Directors, ensuring compliance with template requirements and clear presentation of material issues.
- Critically assess drafts of commitment letters, policies, reinsurance agreements, and related documentation, raising pertinent issues for D/AGC consideration.
- Provide senior attorney-level expertise on PRI projects as needed, supporting DFC's PRI activities by identifying and addressing structural, legal, and policy issues raised by projects.
- Collaborate with the Deputy Vice President for Insurance, the Vice President of Energy, and other Senior Management on PRI-related matters as required.
- Evaluate PRI knowledge gaps within DFC and develop training and knowledge management initiatives to address these gaps, including for Project Attorneys and business line officers.
- Deliver training to Project Attorneys on PRI-related origination and monitoring activities.
- Must possess or be eligible for a Public Trust security clearance.
- Must hold a degree from an accredited law school (LL.B. or J.D.) and have experience as a practicing attorney.
- Minimum of 10 years of experience as a licensed attorney, with a background in transactional international development finance, PRI, project finance, and/or investment transactions.
- Familiarity with environmental and social policies, practices, and standards, particularly in cross-border and international contexts; preference for experience applying these practices to development initiatives.
- Preference for familiarity with DFC policies, procedures, and directives, along with experience managing transactional attorneys.
