POSITION SUMMARY

We are in search of a skilled in-house attorney who will thrive in a collaborative environment at The Energy Authority (TEA), providing practical legal counsel and support to various business units. The Corporate Counsel will primarily focus on energy and financing transactions, leading negotiations, drafting, and reviewing a diverse range of contracts related to power, gas, transmission, and renewable energy, in addition to financial agreements. This role will also encompass providing legal services on various other matters, including commercial contracts, corporate governance, regulatory issues, intellectual property, dispute resolution, litigation, and additional projects.

KEY RESPONSIBILITIES

  • Draft, review, negotiate, and interpret energy and commercial agreements, including commodity contracts, professional services agreements, confidentiality agreements, master service agreements, consulting contracts, technology agreements, and procurement contracts.
  • Draft, review, and negotiate credit facilities and financing arrangements, including guaranty agreements, financing contracts, and letters of credit.
  • Review and provide insights on requests for proposals (RFPs) and collaborate with other departments and Legal team members to develop contract templates for new services.
  • Deliver timely, well-researched, and practical legal analysis and guidance in response to requests for legal support from various departments.
  • Collaborate on cross-functional transactions, special projects, and other aspects of TEA's operations requiring legal input, such as financings, auditor inquiries, insurance matters, public records requests, counterparty insolvencies or bankruptcies, and compliance and regulatory issues.
  • Coordinate with Legal team members and external counsel to manage TEA's intellectual property (IP) portfolio, including trademark registrations, patent prosecution, and other IP-related matters.
  • Assist with tax, dispute resolution, settlements, litigation, employment law, and corporate governance issues.
  • Oversee contract workflows, approvals, execution, and record-keeping in collaboration with other Legal team members and departments.
  • Work with Legal team members to develop and implement process improvements aimed at enhancing the efficiency of the Legal team.
  • Consult with external counsel on specialized, complex, and novel legal matters as necessary.
  • Stay informed about industry laws, regulations, and best practices to provide relevant and timely advice.

EDUCATION AND EXPERIENCE REQUIREMENTS

  • Juris Doctor (J.D.) degree from an accredited law school.
  • 3 to 9 years of experience as a practicing attorney in a corporate in-house legal department, large law firm, or a combination of both.
  • License to practice law and a member in good standing of a state bar; Florida bar preferred.
  • Extensive experience in commercial, financial, and/or energy contracting.
  • Familiarity with standard and nonstandard commercial and energy contract terms and conditions.

PREFERRED KNOWLEDGE AND SKILLS

  • Experience in corporate in-house and/or large law firm settings is highly preferred.
  • Expertise in energy contract drafting and negotiation, particularly with ISDAs, EEIs, NAEMAs, LEAPs, and/or NAESBs and related confirmations.
  • Strong background in financial contract drafting and negotiation is highly preferred.
  • Knowledge of regional transmission organizations (RTOs) and independent system operators (ISOs) is a plus.
  • Experience in renewable energy is a plus.
  • Familiarity with energy regulatory matters is a plus.
