We are seeking a highly skilled and experienced Corporate Paralegal to join our team at Esquire Recruiting. The ideal candidate will have a strong background in corporate governance, transactional support, and document preparation.

Responsibilities:
  • Assist with general corporate governance, including entity formation, stock certificate preparation, and drafting documents for amendments, withdrawals, mergers, conversions, and dissolutions of corporations, partnerships, and LLCs.
  • Support corporate transactional and venture capital work, including conducting UCC/lien searches, closings of acquisitions, security filings, and merger and reorganization transactions.
  • Draft and file annual reports and similar filings for corporations and limited liability companies in various states to maintain good standing.
  • Maintain corporate minute books and process statutory registered agent invoices.
  • Manage Athennian Database and Carta platform experience.
Requirements:
  • Bachelor's degree and/or paralegal certificate with a minimum of five or more years of experience.
  • Law firm experience preferred.
  • Dependable team player with excellent communication and organizational skills.
  • Ability to prioritize multiple tasks, adapt to changes in workflow, and ensure work is completed within defined deadlines.
  • Excellent knowledge of reading, writing, grammar, spelling, punctuation, proofreading, and formatting.
  • Athennian database and Carta platform experience preferred.
