About the Role

We are seeking a highly skilled and experienced Corporate Attorney to join our Legal Department at ORIX USA. As a key member of our team, you will be responsible for providing expert legal advice and support to our commercial real estate lending and general corporate law activities.

Key Responsibilities
  • Manage outside counsel and directly support all legal aspects of financing transactions for our commercial real estate lending, investing, and asset management activities.
  • Work on loan modifications, workouts, restructurings, and other loan portfolio management activities.
  • Advise on corporate financing matters, including warehouse loan agreements.
  • Draft, negotiate, review, and analyze a wide range of commercial contracts, including office leases.
  • Analyze and advise on various regulatory matters, including state licensing laws and requirements.
  • Develop and maintain a deep understanding of trends and practices on legal issues and documents relevant to our business units.
  • Ongoing counseling, improvement, and implementation of various corporate policies, initiatives, and programs.
Requirements
  • Juris Doctorate from an accredited law school and admission in good standing to the bar.
  • An undergraduate degree in finance, business administration, or economics is preferred.
  • A minimum of five years of large law firm or comparable in-house corporate experience.
  • Excellent business judgment and decision-making abilities.
  • Commitment to innovative and continuous process improvement activities.
  • Polished and effective negotiation, communication, and drafting skills suitable for interaction with external parties and all levels of the organization.
  • Ability to understand, interpret, and explain complex contractual terms to business clients in a simple, practical manner.
  • Excellent organizational, communication, presentation, and interpersonal skills.
  • Ability to plan, organize, and prioritize assignments, and to meet critical and established deadlines.
  • Flexibility and ability to work under pressure and adjust priorities in a rapidly changing environment.
  • Possesses strong character and principles, embracing the values of the legal and compliance profession.
  • Strong interest in business, finance, and the capital markets, as well as familiarity with or a willingness to learn and understand underlying business and financial concepts.
