About the Role

The Associate General Counsel will assist with various matters, including the creation of new investment products, preparation of required disclosure for mutual funds and ETFs, contract review and negotiation, corporate governance, and other legal matters relating to products and services offered by the firm.

Key Responsibilities
  • Oversee the preparation of required mutual fund and ETF disclosure documents, including updates and supplements to prospectuses and statements of additional information and legal review of Tailored Shareholder Reports.
  • Prepare, review, and negotiate legal contracts, documents, and agreements, including ISDAs and related trading agreements, and take the lead role in the review and negotiation of intermediary agreements.
  • Provide legal counsel and assistance with matters related to the firm's products and services, including mutual funds, ETFs, and CITs.
  • Prepare Board materials and/or address issues related to the Board.
  • Assist with new product development.
  • Coordinate legal research, as needed.
  • Provide mentoring and feedback for team members.
  • Oversee the opening of foreign markets for the mutual funds and ETFs.
Requirements
  • J.D. degree and 6-8+ years of experience in the corporate and/or securities practice area of a law firm or as in-house counsel in an investment-related business.
  • Proficiency in technical research/writing, including the ability to create, edit, and present.
  • Proficient knowledge of computer systems, including MS products (Word, Excel, and PowerPoint).
  • Excellent analytical skills with proven ability to interpret and communicate complex concepts.
  • Action-oriented, timely, and organized with the ability to prioritize workload with high degree of accuracy and attention to detail.
  • Works independently and performs a variety of tasks in a team environment.
  • Ability to coach and guide others.
