Job Summary

We are seeking a highly skilled and experienced Corporate Attorney to join our legal team. The successful candidate will provide legal advice and guidance on various corporate matters, including securities law, equity management, contracts, compliance, and other legal issues.

Key Responsibilities
  • Conduct legal research and analysis on corporate issues
  • Provide legal advice and guidance on securities law, equity management, contracts, compliance, and other legal matters
  • Handle corporate governance activities, including insider trading policy and procedures
  • Draft and review legal documents, including contracts, agreements, and policies
  • Represent the company in negotiations and other legal matters
  • Collaborate with internal stakeholders to ensure compliance with applicable laws and regulations
  • Stay updated on changes in laws and regulations that may impact the company's operations
  • Assist in the development and implementation of corporate policies and procedures
Requirements
  • JD degree from an accredited law school
  • Membership in a state bar association (California preferred)
  • Significant experience as a corporate attorney, including expertise in advising publicly traded companies on SEC filings and other corporate disclosures
  • Strong securities and corporate law background, including knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and corporate governance principles for publicly traded companies
  • Strong knowledge of corporate law principles, regulations, and best practices
  • Proficiency in conducting legal research
  • Excellent legal drafting and research skills with strong attention to detail and accuracy
  • Excellent verbal, written, and interpersonal communication skills, including the ability to effectively communicate complex legal concepts to non-legal stakeholders
  • Experience in negotiating and drafting financing and other contracts
  • Biopharma, medical device, or diagnostics industry experience preferred
  • Ability to work effectively in a fast-paced startup with a high degree of collaboration
