Senior Legal Counsel

About the Role

The Senior Counsel will provide strategic legal advice and support to TD Bank, N.A. management in Corporate Group Functions and Business Units. This role will serve as a legal expert in one or more defined subject matter areas and/or specific business lines, providing high-level legal advice to specific business areas, and may prepare resolutions, contracts, memoranda to management, litigation documents, and forms.

Key Responsibilities

  • Manage paralegal and administrative staff, assigning responsibilities and evaluating results.
  • Provide leadership, coaching, counseling, and guidance to staff.
  • Supervise external counsel providing advice or other legal services to the Company.
  • Work closely with General Counsel, department attorneys, and external legal counsel on specific legal issues related to the Company's business.
  • Give practical support and assistance to contemporaries, junior attorneys, and staff.
  • Volunteer expert advice and experience.
  • Verify the information has been understood.
  • Serve in one or more permanent or ad hoc practice groups or cross-practice teams of attorneys and staff.
  • Assist in the management of expenditures for external counsel.
  • Advise lines of business on best practices that help minimize legal and litigation risk.
  • May assist General Counsel in developing and managing departmental budget for both internal and external legal spend.
  • Anticipate client needs.
  • Deal with complex legal issues.
  • Clearly deliver difficult messages without jeopardizing client relationships.
  • Give pragmatic legal opinions with reasons and rationale.
  • Provide advice in ambiguous situations; identify and prevent future legal risks.
  • Identify and take action on future opportunities.
  • Resolve most situations where conflicts arise between the needs and desires of specific business units and the interests of the Company without requiring intervention of more senior attorneys.
  • Demonstrate highest professional ethical and behavioral standards and comply with all applicable Bar Rules and Codes of Professional Responsibility, and corporate ethical and behavioral standards.
  • Participate in special projects and perform additional duties as required.

Requirements

  • Bachelor's degree required.
  • J.D. from an Accredited Law School required.
  • 10+ years of related experience.
  • Strong knowledge of at least one area of law relating to banking/financial services operations and issues.
  • Integrity and high moral standards.

  • Ability to work in a fast-paced environment and manage multiple deadlines and priorities.
  • Understand the value of knowledge management, build and support systems and tools that efficiently connect people to the knowledge they need to do their job.

Preferred Qualifications

  • Solid grasp of legal technology, such as contract life cycle management, matter management, and external counsel management tools, and other emerging legal technology.
  • Ability to communicate complex legal issues and risks to internal clients for evaluation and decision-making.
  • Understanding of key project management principles as applied to legal transactions.
  • Agile and adaptable approach to matters that demonstrates an understanding of our internal clients' needs and allows for creative solutioning within the required risk tolerance.
