Key Responsibilities:
• Perform all aspects of the contract administration functions including intake of contract requests, obtaining approvals, tracking progress, obtain signatures, preparing and sending hardcopies via courier, track and provide status update
• Ensure contracts are submitted through correct workflow and provide training when appropriate
• Secure all necessary approvals and ensure that standard company policies and procedures are followed
• Summarize key points of simple and complex agreements
• Provide support to business teams in reviewing terms and negotiating contracts with customers, vendors, consultants, and service providers
• Review, redline, negotiate and process NDAs
• Draft correspondences, letters, and other communications and notices
• Review standard terms and conditions on a global basis and update as necessary to ensure terms are consistent with current business practices and processes
• Prepare a variety of reports, correspondence, and related documents in preparation for contract metrics reports
• Track expiration dates and work with business stakeholders to ensure contracts are renewed or terminated on a timely basis.
• Work with in-house and external counsel to manage and update corporate governance documents
• Manage and update the Contract Database and hard files. Upload backlogged contracts to the database, file and organize historical documents, and manage the implementation of database upgrades.
• Design, implement and maintain processes that improve contracts management
• Organize and maintain Contracts Playbook
• Assist Legal Counsel with ad hoc requests and special projects
• Other duties as assigned
Requirements:
• Bachelor's Degree. (JD preferred but not required)
• +5 years relevant experience in a large manufacturing organization supporting sales, procurement, or product development
• Excellent written and verbal communications skills
• Extensive experience with CMS
• Proficient knowledge and use of Word, Excel, Adobe Acrobat, PowerPoint, SharePoint, DocuSign
• This job primarily works in an office environment, requiring the following activity: lifting and carrying materials weighing up to 15 pounds, kneeling, bending. Must be able to use standard office equipment such as copiers and faxes and sit for extended periods of time.
• Project management experience a plus but not required.
